1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AR Data Intelligence Solutions Inc. ("Company," "we," "our," or "us") governing your access to and use of AR Code Scan at codescan.ardata.tech, including any related services, features, content, and applications (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use the Service.

If you are accessing or using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case "you" and "your" will refer to such entity.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under any applicable laws
• You have not been previously suspended or removed from the Service

3. Description of Service

AR Code Scan is an automated code analysis platform that provides:

• Security Vulnerability Detection: Identification of potential security issues in source code
• Production Readiness Assessment: Evaluation of code quality and architecture
• Enhancement Recommendations: Suggestions for code improvements
• Design Specification Analysis: Architecture overview and build guides
• Report Generation: Exportable reports in various formats

4. User Accounts

4.1 Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree not to share your login credentials with any third party. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4.3 Account Termination

We reserve the right, in our sole discretion, to suspend, disable, or terminate your account and access to the Service at any time, with or without cause, with or without notice, including but not limited to if we believe that you have violated these Terms.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any unlawful, fraudulent, or malicious purpose
• Scan repositories or code that you do not own or have authorization to access
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems
• Interfere with, disrupt, or create an undue burden on the Service or its infrastructure
• Attempt to reverse engineer, decompile, or disassemble any aspect of the Service
• Circumvent, disable, or interfere with security features of the Service
• Use any automated system, including bots or scrapers, to access the Service without authorization
• Upload or transmit viruses, malware, or other malicious code
• Violate any applicable laws, regulations, or third-party rights

5.2 Prohibited Content

You agree not to submit for scanning any code or repositories that:

• You do not have the legal right to access or analyze
• Contains malware, viruses, or malicious code intended to harm the Service
• Violates any third-party intellectual property rights
• Contains illegal content or is used for illegal purposes

5.3 Usage Limits

Free tier users are limited to 3 scans per month. Exceeding or attempting to circumvent these limits may result in account suspension or termination.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology, is and will remain the exclusive property of AR Data Intelligence Solutions Inc. and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.

6.2 Your Code and Content

You retain all ownership rights to your source code and any content you submit for scanning. By using the Service, you grant us a limited, non-exclusive, royalty-free license to:

• Access and analyze your code solely for the purpose of providing the Service
• Generate and store scan results, including code snippets for context
• Use anonymized and aggregated data to improve our analysis algorithms

We do not claim any ownership rights to your code. Your source code is processed in memory and is not permanently stored on our servers.

6.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

7. Service Tiers and Payment

7.1 Free Tier

The free tier provides limited access to the Service with usage restrictions. We reserve the right to modify free tier features and limits at any time without notice.

7.2 Paid Services

Professional services, including "Quick Fix" engagements and "Partnership" arrangements, are subject to separate written agreements. Pricing for these services is determined based on project scope and requirements after an initial assessment.

7.3 Payment Terms

For paid services:

• All fees are quoted in US dollars unless otherwise specified
• Payment terms will be specified in the applicable service agreement
• Fees are non-refundable except as expressly stated in writing
• We reserve the right to modify pricing with reasonable notice

You agree to indemnify, defend, and hold harmless AR Data Intelligence Solutions Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service or any activity under your account
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights, including intellectual property rights
• Any code, content, or materials you submit for scanning
• Any claims arising from your products or services that utilized the Service

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

11. Third-Party Services

The Service may integrate with or contain links to third-party services, including but not limited to GitHub, payment processors, and AI services. We are not responsible for the practices, content, or availability of such third-party services. Your use of third-party services is subject to their respective terms and policies.

12. Modifications to Service and Terms

12.1 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, for any reason. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12.2 Terms Modifications

We may revise these Terms from time to time. Material changes will be notified by posting the updated Terms with a new effective date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any disputes arising out of or related to these Terms or the Service.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at alvin@ardata.tech and attempt to resolve the dispute informally for at least 30 days.

14.2 Binding Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Delaware, United States.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, understandings, and communications.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their successors and permitted assigns.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, or failures of third-party services.

15.6 No Third-Party Beneficiaries

These Terms are for the sole benefit of the parties and do not confer any rights on any third party.

The section headings in these Terms are for convenience only and have no legal or contractual effect.
